These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and ZenDog ("we," "us," or "our"), governing your access to and use of the website located at zenddog.com ("the Site") and your purchase of any products offered through the Site. By accessing, browsing, or placing an order on the Site, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Site.

8. Intellectual Property
All content, materials, and elements of the Site, including but not limited to text, graphics, logos, trademarks, trade dress, photographs, videos, product images, product designs, page layouts, and software, are the exclusive property of ZenDog or its licensors and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, sell, or otherwise exploit any content from the Site without the prior written consent of ZenDog. WE DO NOT WARRANT THAT THE SITE WILL OPERATE WITHOUT INTERRUPTION OR ERROR, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZENDOG, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR ANY PRODUCTS PURCHASED THROUGH THE SITE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ZENDOG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL ZENDOG'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE TOTAL AMOUNT PAID BY YOU TO ZENDOG FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE DATE THE CLAIM AROSE.
12. Indemnification
You agree to indemnify, defend, and hold harmless ZenDog and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) any violation of these Terms by you; (c) any violation of applicable law or regulation by you; (d) any content or information you submit through the Site; or (e) your infringement of any intellectual property or other right of any third party.
13. Dispute Resolution & Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall first be addressed through good-faith negotiation between the parties for a period of not less than thirty (30) days.
If the dispute cannot be resolved through negotiation, the parties agree to submit to binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted by a single arbitrator, and the decision shall be final and binding. Judgment upon the award rendered by the arbitrator may be entered in any court of competent jurisdiction. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
14. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.
15. Waiver
The failure of ZenDog to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of ZenDog.
16. Entire Agreement
These Terms, together with our Privacy Policy, Shipping Policy, and Return & Refund Policy, constitute the entire agreement between you and ZenDog with respect to your use of the Site and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between the parties.
